Thus, we help them draft and negotiate their commercial contracts and agreements (supply and distribution of products or equipment, procurement, commercial cooperation, partnerships, Research & Development agreements, contracts, cost-plus contracts, subcontracting etc.) and assist them in making their documents and commercial practices compliant (T&Cs, single agreements, invoices, payment terms etc.).

Numa Avocats has recognized expertise in setting up distribution networks. We help our clients to organise their distribution or operating methods and identify the appropriate contractual instruments (franchising agreements, selective or exclusive distribution, commercial agency, management leases, business contribution, etc.).

We also assist our clients in disputes arising out of such agreements and/or commercial agreements (mediation or legal action).

We have developed extensive expertise in restrictive competitive practices (breakdown of established commercial relations, disproportionate advantages, significant imbalance) and competition law (cartels, abuse of dominant position). In collaboration with our corporate & finance teams, we regularly assist our clients in their concentration operations (threshold analysis, pre-notification procedure and notification to the competition authorities).

We are also active in matters of intellectual property law (trademark protection, software protection and copyright) as well as compliance with the rules on the protection of personal data (GDPR).

We work in a fully integrated manner with the other departments of the firm to provide our clients with relevant multidimensional advice.
